On 2 February 2015, PHW Consolidated Limited (“PHW”) announced it had executed an agreement (“Acquisition”) to acquire, in an all scrip transaction, the entire issued share capital of Tomizone Limited (“Tomizone”), a leading WiFi software company which connects high density venues to its consumers.
